DSP Legal Terms
Original AdExchange BD DSP legal terms for advertiser and agency accounts, campaign delivery, billing, creative compliance, data protection and programmatic advertising.
Original AdExchange BD DSP legal terms for advertiser and agency accounts, campaign delivery, billing, creative compliance, data protection and programmatic advertising.
1. Parties, acceptance and scope
These terms apply to an advertiser, agency or other authorised business account using the AdExchange BD demand-side platform, campaign interfaces, creative tools, reporting or associated buying services (the Customer). By submitting an order, activating a campaign or using those services after receiving these terms, an authorised representative accepts the applicable terms on behalf of the Customer, subject to any signed agreement.
Public product descriptions are informational; access to particular buying methods, inventory, data integrations or regions depends on eligibility, configuration, approval and the services actually enabled. Services are not a guarantee of access to any particular ad exchange, publisher, Google programme or auction.
2. Platform and advertising terminology
A Campaign is an authorised set of ads, targeting, budget and delivery instructions. A Creative is an image, video, HTML, native asset or other supplied advertisement. Inventory means publisher-controlled ad opportunities that are offered for buying; a Bid is an eligible offer for an impression. An insertion order (IO) or order records campaign scope, price model and applicable commercial arrangements.
CPM measures the contracted price per thousand eligible impressions; CPC, CPA and other metrics may be available only when agreed. A bid request is not itself a completed purchase, and a creative preview is not proof of delivery or a billable impression.
3. Accounts, authorisation and responsibilities
The Customer must give accurate business and billing details, ensure that people operating its account are authorised, keep credentials and integration tokens secure, and promptly notify AdExchange BD of suspected misuse. Actions made under the account may be attributed to the Customer subject to investigation of unauthorised activity.
Agencies must have authority from each represented advertiser to submit campaigns and to use supplied personal data, creative materials, trademarks and landing pages. Additional verification, campaign screening or jurisdictional restrictions may apply.
4. Campaign submission, review and delivery
Customers are responsible for choosing the campaign objective, bid or agreed rate, budget, schedule, targeting, frequency limits and destination. Orders may be subject to inventory availability, technical eligibility, ad quality checks, permitted demand connections and written commercial approval.
AdExchange BD may reject, pause or require modification of a campaign, creative or destination that poses legal, privacy, fraud, malware, brand-safety, performance or contractual risks. Review does not transfer responsibility for the content from the advertiser. Service interruptions, auction competition, publisher restrictions and ad blockers may affect delivery.
5. Buying methods, bids and measurement
A campaign may use a direct agreement, available programmatic auction, authorised demand connection or another supported placement method. Different methods may have different clearing-price, floor, eligibility, timeout and reporting rules. We do not describe GAM third-party Creative integration as Google Open Bidding or as access to Google's own buyer programmes.
Estimated reach, forecasts and previews are not guaranteed results. Billable events, discrepancies, invalid traffic treatment and source-of-truth reporting must follow the agreed order or written service schedule. Parties should review material reporting differences promptly using available logs and reconciliation evidence.
6. Campaign charges, credit and settlement
The applicable insertion order, account plan or signed agreement determines campaign price model, currency, prepaid balance or credit terms, applicable taxes, invoicing frequency, payment due date and any fees. The website does not itself create an unlimited credit facility or a universal CPM rate for every customer.
The Customer must pay undisputed amounts when due under its agreement. Billing disputes should identify campaign, date, amount and supporting information within the contractual dispute window; the parties will investigate discrepancies in good faith. Credits, refunds, reversals and adjustments require a documented contractual or legal basis.
7. Creative, destination and content standards
The Customer must have the necessary rights and permissions for its creative files, brand names, claims, endorsements, tracking tags and landing pages. Content must not be unlawful, discriminatory, deliberately misleading, infringing, malicious, sexually exploitative or designed to circumvent platform or publisher security controls.
Landing pages must match material advertising claims and meet applicable consumer, privacy and platform rules. AdExchange BD may use security scanning, manual review or automated eligibility checks without guaranteeing that every harmful ad will be detected. Advertisers remain responsible for complying with the laws applicable to their products and audiences.
8. Invalid traffic, brand safety and disputes
Neither Customer nor its agents may generate artificial impressions, clicks, conversions, bid requests, fraudulent activity or manipulation of attribution. We may investigate suspicious activity, temporarily hold affected delivery or settlement where justified, and cooperate with affected publishers, service providers or competent authorities as legally permitted.
Inventory, verification filters and brand-safety controls reduce certain risks but do not guarantee zero fraud, perfect suitability or a particular advertising outcome. Material issues should be reported with campaign identifiers and supporting evidence so they can be investigated.
9. Personal data, consent and authorised signals
Each party must identify and perform its obligations as controller, processor or other relevant role for the particular processing activity; roles are not identical across all integrations. Customers must only provide targeting lists, identifiers, consent signals and other personal information where a lawful basis, notices and necessary permissions exist.
Where applicable law requires consent for cookies, tracking or personalised ads, the relevant publisher and participating services must obtain and respect it. AdExchange BD's Privacy Policy and GDPR/Data Protection page explain general handling and rights; a separate signed data processing agreement or controller arrangement may be required before particular personal-data exchanges begin.
The Customer must not upload sensitive categories of personal information, information about children, or data it is not authorised to provide. A supported technical integration does not automatically demonstrate GDPR certification or authorise international transfers.
10. Intellectual property and permitted integration
Each party retains ownership of its pre-existing brands, materials and intellectual property. The Customer grants AdExchange BD a limited permission to host, technically process and display approved creative, landing-page references and related metadata for the duration and purpose of authorised campaigns.
AdExchange BD retains its software, SDK, platform interfaces and operating documentation, subject to third-party licences. The Customer may integrate documented APIs and ad tags only as authorised and may not exploit vulnerabilities, remove required disclosures or attempt to obtain restricted code or data, except where mandatory law expressly permits.
11. Confidentiality and service providers
Non-public business prices, campaign proposals, system specifications, access credentials and operational records that should reasonably be treated as confidential must be protected and used only for the permitted business purpose. Exceptions include information independently developed, lawfully public or required to be disclosed by law.
AdExchange BD may use contracted infrastructure and operational service providers for the authorised service, subject to applicable confidentiality and privacy requirements. Any specific processor/subprocessor list or international transfer terms must reflect the providers actually used for the engagement.
12. Availability, changes and support
The platform may change its technical interfaces, eligible formats or delivery rules to address security, legal, product or infrastructure requirements. Where a material change affects an active written commercial commitment, the parties will follow the applicable agreement and any required notice procedure.
Reasonable technical support can assist with diagnosing eligible campaign and integration problems, but we do not promise uninterrupted service or delivery on every publisher, device, network or territory.
13. Suspension and termination
Either party may end a campaign or service under the cancellation rights, notice periods and financial conditions agreed in its order or services agreement. AdExchange BD may suspend access where reasonably necessary for security, illegal content, material policy violations, fraudulent activity or prolonged non-payment, with notice where appropriate and lawful.
Termination does not erase accrued payment obligations, confidentiality duties, valid reporting disputes, applicable intellectual property rights or required retention. Personal-data return or deletion is governed by the relevant privacy law and any data-processing terms.
14. Liability and claims
Each party is responsible for its own breach of contract, law and obligations. Any warranty disclaimer, indemnity obligation or limitation of liability is subject to mandatory applicable law and the negotiated commercial agreement. Nothing here attempts to exclude liability that cannot legally be excluded.
Advertiser claims about products or creative content, publisher restrictions, third-party systems and external ad auctions can create risks beyond the operation of AdExchange BD software. The parties should specify any commercial liability cap, permitted exclusions and claims procedures in their signed terms rather than assume a universal cap.
15. Law, disputes, contract priority and updates
Unless a signed agreement provides a different governing law or dispute forum, these general platform terms are interpreted under applicable laws of Bangladesh, subject to mandatory laws that cannot be displaced. Parties should first attempt good-faith resolution through the named business contacts.
A signed master agreement, written order or data processing addendum controls where it expressly conflicts with this general notice. Material changes to these terms should be communicated through reasonable account or website notice, with additional agreement where required. The effective date above identifies this published edition.
